CORPORATE OVERVIEW

COSTA Energy Inc. is a publicly traded oil and gas company, founded in 2004, with exploration and development prospects in Alberta. On March 1, 2006, COSTA Resources Ltd., a private oil and gas company based in Calgary, Alberta, acquired Kelso Energy Inc. by way of a reverse takeover. Approximately 5.5 million post consolidation common shares and approximately 2.4 million post consolidation non-voting shares were issued to the shareholders of Resources and significant changes were made to the management team and board of directors of Kelso.

COSTA is actively pursuing various strategic alternatives. The Company has retained the financial advisory firm Sayer Energy Advisors to assist in this process. These alternatives may include the sale of COSTA Resources Ltd., the wholly-owned subsidiary which holds all of the Company’s oil and gas assets, the sale of all of the assets of the Company, or such other transaction as the Board of Directors may identify as being in the best interests of the shareholders of the Company. Any such transaction may be subject to shareholder and regulatory approvals.
